This document governs all interactions with the ZyroPilot web terminal, OTC trading systems, application interfaces, and customer portals. This Agreement incorporates and operates in full harmony with our Privacy Policy, Anti-Money Laundering (AML) Protocols, and Risk Disclosure Statement.
1.2Express Consent & Irrevocable Assent
By browsing our web presence, registering a trading profile, authenticating user credentials, remitting digital asset deposits, or enrolling in any evaluation tier, you signify your unreserved, voluntary, and irrevocable assent to each covenant set forth herein. If you do not accept these provisions without reservation, your right to access the terminal is immediately revoked, and you must exit the platform without delay.
1.3Proprietary Evaluation Architecture & Platform Scope
ZyroPilot operates as an institutional proprietary evaluation firm and high-performance financial technology interface. ZyroPilot does not function as a bank, licensed depository broker-dealer, asset custodian, or fiduciary investment advisor. All evaluation tiers, live trading accounts, and terminal services are provided for proprietary performance assessments, capital allocation, and profit-split distributions.
1.4Jurisdictional Restrictions & Trader Due Diligence
Users hold sole, non-delegable responsibility for verifying that participating in OTC binary derivative trading and evaluations satisfies all statutory laws and municipal regulations within their sovereign domicile. The platform is strictly unavailable to individuals residing within territories sanctioned by OFAC, the United Nations, or the FATF blacklist, or in jurisdictions where commercial proprietary trading evaluations are prohibited by statute.
Mandatory Customer Due Diligence (KYC), Age & Vault Archival
Verification tiers, mandatory liveness telemetry, biometric protocols, and five-year statutory records retention.
2.1Compulsory Verification Thresholds
Satisfactory completion of Customer Due Diligence (KYC) is a mandatory condition precedent before any digital asset withdrawal or performance fee distribution can be authorized or broadcast from any account class (Live Accounts, Funded Accounts, and Affiliate Balance Ledgers). Unverified profiles retain access to practice mode but cannot initiate capital transfers.

Any profile found to have been registered by or on behalf of a minor will be subjected to instantaneous permanent termination and forfeiture of all balances.

In strict conformity with international AML frameworks, customer identity dossiers, facial telemetry records, and transaction histories are archived in an encrypted compliance vault for a mandatory retention period of not less than five (5) consecutive years following profile deactivation.

The creation, leasing, or operation of secondary profiles across identical hardware, browser sessions, residential networks, or IP addresses is prohibited.
3.2Automated Telemetry & Machine Fingerprinting
Upon initial profile generation and during each subsequent authenticated session, our security subsystem records device-level canvas hashes, GPU configurations, operating system signatures, IP geolocations, and proxy telemetry. This data is utilized to detect multi-accounting and account takeover vectors.
3.3Designation of Suspicious Intersecting Accounts
Whenever duplicate telemetry, hardware fingerprints, or shared router signatures are identified between two or more user accounts, each intersecting profile is immediately classified as a 'Suspicious Account' and placed into compliance quarantine pending internal review.
3.4Shared Residential & Enterprise Network Exception
The Company acknowledges legitimate shared environments (such as co-habitating family members or corporate workspaces). In such instances, intersecting accounts may maintain good standing only if every user completes full individual KYC verification and secures explicit written authorization from our compliance department prior to executing trades. Incomplete verification of even a single intersecting profile voids the standing of all linked accounts.
3.5Enforcement & Balance Nullification
Circumvention of evaluation purchase restrictions, farming of promotional credits, or multi-account exploitation results in immediate suspension, termination of active challenges, voiding of accrued trading profits, and permanent platform blacklisting.

4.1High-Frequency Institutional Pricing Architecture
Market quotations, price charts, and live tick streams presented on the ZyroPilot terminal are calculated and routed through our proprietary low-latency pricing and liquidity engine. Prices reflect institutional OTC market mechanics, offering continuous liquidity, ultra-fast order matching, and transparent tick timestamps without exchange delay.
4.2Coverage Across 26 Global Instruments
Traders can participate in high-frequency OTC binary derivative contracts spanning twenty-six (26) proprietary instruments distributed across four core financial classes: Digital Currencies, Foreign Exchange, Physical Commodities, and Global Equities Indices.
4.3Binary Execution Mechanics & Expiry Windows
Each trade constitutes a binary prediction on whether the binary asset price at the conclusion of a specified duration will settle above (Call / Up) or below (Put / Down) the initial entry tick. Payout yields are locked and visible prior to trade placement. Successful predictions return the original stake plus the advertised yield; unsuccessful predictions forfeit the position stake entirely.
4.5Autonomous Server-Side Settlement Protocol
Contract outcomes are settled exclusively on ZyroPilot core server clusters. The client web application cannot alter or influence tick resolution. In the event of client-side disconnection or network disruption, the server engine resolves open contracts precisely at their scheduled timestamp without requiring active terminal connectivity.

5.1Program Objectives & Evaluation Scope
The ZyroPilot Trader Challenge Evaluation Program is a structured performance assessment. Candidates who satisfy all evaluation parameters without breaching risk controls qualify for Funded Trader Status, gaining access to Company capital allocations and profit distributions.
5.2Criterion 1: Profit Target Benchmark
The trader's evaluation account balance must attain or exceed the specified profit target for the enrolled tier (typically 20% to 30% above the initial starting balance). Bonus allocations do not count toward this milestone. Achieving the target alone does not trigger completion until all concurrent conditions (minimum trading days, win rate) are satisfied.
5.3Criterion 2: Daily Realized Loss Boundary
Net realized trading loss for any single UTC calendar day (00:00:00 to 23:59:59 UTC) must not equal or exceed the tier's daily loss threshold (calculated strictly against initial account capital). Evaluated upon each contract settlement. Breaching this limit mid-day triggers immediate, automatic, and irreversible evaluation failure. The platform does NOT provide pre-trade warnings or order blocks; managing exposure is the trader's sole responsibility.
5.4Criterion 3: Cumulative Total Drawdown Floor
The account balance must never breach the static drawdown floor, calculated as: Initial Capital × (1 - Max Drawdown Percentage). The floor remains anchored to initial starting capital and does not trail upwards during the challenge. A breach of this boundary triggers instantaneous evaluation failure.
5.5Criterion 4: Minimum Active Trading Days Requirement
Traders must execute and settle trades across a specified minimum number of calendar days (UTC). A trading day is recorded only when at least one contract completes settlement within that 24-hour UTC window. There is no maximum calendar deadline; traders may progress at their preferred tempo.
5.6Extended Trading Beyond Profit Target & Profit Ceiling
Reaching the profit benchmark prior to completing the required trading days keeps the account open for trading. During this interim window, any additional profits are capped at `Initial Capital + Profit Target`. If losses occur, balance reduces normally, and the trader can recover back up to the cap. Breaching loss limits during this period results in automatic failure.
5.7Criterion 5: Daily Realized Profit Cap
To discourage aggressive martingale strategies and excessive variance, a daily profit ceiling is enforced. Once cumulative realized gains for a UTC day reach the designated threshold, further trade placement is restricted until the 00:00 UTC daily reset.
5.8Criterion 6: Tier-Specific Minimum Win Rate
Designated challenge tiers mandate an aggregate win percentage threshold. Win rates exclude push/draw resolutions. The challenge cannot lock as passed until the win rate meets or exceeds the required threshold.
5.9Criterion 7: 30-Day Inactivity Expiration
Accounts must maintain trading engagement. If 30 consecutive calendar days elapse without an executed and settled contract, the evaluation account is classified as lapsed and marked as failed.

6.1Unlimited Paid Challenge Access
Traders in good standing may purchase and attempt an unlimited aggregate volume of paid challenge evaluations over the lifetime of their verified profile, subject strictly to the single concurrent active account restriction.
6.2Strict Lifetime Limit on Free Promotional Challenges
Each registered individual, residential IP, and household is entitled to exactly one (1) Free Promotional Challenge over their entire lifetime. Platform ledger records permanently log this entitlement. Any attempt to activate a second free challenge on the same profile or through secondary accounts will be automatically blocked by the server and will constitute a material violation of Section 3.1.
6.3Single Concurrent Active Account Constraint
A trader is restricted to operating exactly one (1) active evaluation or funded account at any given point in time. An ongoing evaluation must reach final resolution (passed, failed, or under audit) before an additional challenge of any tier may be activated.
6.4No Implied Guarantee of Capital Allocation
Remitting an evaluation assessment fee does not guarantee passing the evaluation or receiving a capital allocation. Allocation is contingent entirely on verified compliance with all performance parameters.
Funded Trader Accounts, Capital Custody & 85% Profit Share
Corporate capital allocations, institutional asset custody, 85% trader profit share, and 1% minimum position size.
7.1Nature of Funded Accounts & Zero Personal Liability
A Funded Account provides access to firm-backed capital. Traders manage firm capital allocations without personal liability for trading losses occurring within permitted risk parameters.
7.285% Performance Fee Profit Distribution
Net trading profits generated on a Funded Account are distributed with 85% allocated to the trader and 15% retained by ZyroPilot. This split ratio is established at challenge enrollment and remains unalterable retrospectively.
7.3Corporate Ownership of Allocated Capital
All allocated trading capital and underlying infrastructure remain the exclusive property of ZyroPilot Technologies Ltd. The trader holds a contractual entitlement to profit distributions only.
7.4Funded Risk Controls (Daily Loss & Drawdown)
Daily loss limits and cumulative drawdown thresholds apply to Funded Accounts. Breaching either parameter results in immediate automatic suspension and account closure.
7.5Minimum Position Sizing Mandate (1% Allocation Rule)
Every order executed on a Funded Account must carry a stake equal to at least 1.0% of the initial account allocation size (e.g., $15.00 on a $1,500 account; $100.00 on a $10,000 account). The server automatically blocks sub-minimum orders.
Performance Fee Payouts, Settlement Cycles & Trading Halts
7-day initial payout milestone, 30-trading-day recurring settlement windows, and mandatory trading pauses during review.
8.1Initial Payout Milestone (7 Trading Days)
Following account allocation, the trader must complete a minimum of seven (7) independent settled trading days, maintain the required win rate, and hold an accrued profit balance meeting the minimum threshold before their initial payout unlock.
8.2Recurring 30-Trading-Day Settlement Windows
Subsequent withdrawal windows operate on 30-settled-trading-day cycles. Upon completing the 30th trading day, the payout window unlocks. If the trader initiates new trades without requesting a payout, the window closes, balance remains intact, and a fresh 30-trading-day cycle commences.
8.3Trading Halt During Payout Review
Upon submission of a withdrawal request, active trading on the respective Funded Account is temporarily suspended until the compliance audit and blockchain broadcast are completed.
8.4Archival of Payout Accounting Periods
Upon payout completion, the preceding performance cycle is archived into historical logs, and a new baseline accounting period begins with trading day count reset to zero.

Deposits and withdrawals are processed exclusively via native blockchain rails: Tether USD (USDT via TRC-20, ERC-20, BEP-20), Ethereum (ETH via ERC-20), BNB (via BEP-20), Bitcoin (BTC via Bitcoin Network), and Toncoin (TON via TON Network). Fiat bank transfers are not supported.
9.2Transaction Minimum Thresholds

10.2Express Waiver of Dispute Rights
By completing a transaction, the user explicitly waives all rights to cancel, demand chargebacks, or initiate payment disputes through financial intermediaries, banks, or card issuers. This policy applies without limitation regardless of evaluation outcome, change of heart, rule violations, or market variance.
10.3Severe Sanctions for Dispute Initiation
Any user who initiates a payment chargeback, recall, or frivolous dispute faces immediate permanent blacklisting, forfeiture of all balances, and liability for all administrative and legal recovery costs.
10.4Rare Technical Error Exception
Discretionary refunds are considered solely in instances of proven, platform-side duplicate billing caused by a technical glitch, provided written notice is submitted within 48 hours of occurrence.
Promotional Incentives, Dual Balance & 40x Turnover
Dual balance accounting, real balance loss priority, proportional profit allocation, and 40x volume turnover requirement.
11.1Dual-Component Balance Architecture
Live trading balances comprise Real Balance (deposited capital and related gains) and Bonus Balance (promotional credits and related gains).
11.2Loss Attribution Sequence
Trading losses are subtracted first from the Real Balance component. The Bonus Balance is impacted only after the Real Balance reaches zero.
11.3Proportional Gain Distribution
Winning returns are split between Real and Bonus balances in exact proportion to their relative weighting at the time of settlement.
11.440x Turnover Requirement
Bonus balances remain restricted until an aggregate trading volume equal to 40 times (40×) the initial bonus credit has been settled in live trades.
11.5Premature Withdrawal Consequences
Submitting a withdrawal prior to completing the 40x turnover voids the entire remaining Bonus Balance and bonus-derived profits. The Real Balance remains freely withdrawable.
Prohibited Conduct, Algorithmic Exploitation & Market Integrity
Bans on latency arbitrage, automated bot scripts, martingale loss-chasing patterns, and system manipulation.
12.1Prohibited Strategies
Strict prohibition against: automated HFT or latency arbitrage scripts, exploitation of server latency or feed micro-spikes, coordinating directional trades across inverse accounts, martingale or aggressive doubling-down sequences, all-in reckless sizing, and unauthorized bot deployment.
12.2Duty to Report System Vulnerabilities
Traders who uncover pricing anomalies or software errors must immediately report them to [email protected]. Exploiting a known flaw constitutes actionable fraud.
12.3Discretionary Compliance Measures
ZyroPilot reserves full discretion to freeze accounts, void illegitimate profits, audit tick history, and notify regulatory or law enforcement bodies in cases of suspected manipulation.
Affiliate Revenue Share, Challenge Commissions & Anti-Farming
Universal referral attribution, up to 81% platform rev-share, up to 50% challenge sales commissions, and anti-self-referral.
13.1Universal Attribution via Referral Links
Affiliates receive unique referral codes and custom URLs. Referred users are permanently attributed for both platform trading activity and evaluation challenge purchases.
13.2Trading Rev-Share Tier Structure
Platform commission rates are determined by monthly active trader deposits: Basic (< 30 deposits): 60%; Silver (30+): 70%; Gold (100+): 75%; Diamond (200+): 81%.
13.3Challenge Purchase Commission Tiers
Affiliates earn commissions on referred paid challenges: Starter (< 5 sales): 10%; Bronze (5+): 20%; Silver (15+): 30%; Gold (30+): 40%; Elite (50+): 50%. Free challenges generate $0 commission but advance sales tier count.
13.4Anti-Farming & Self-Referral Ban
Creating self-referral accounts or coordinating with associates to artificially farm commissions is grounds for immediate affiliate termination and total commission forfeiture.

Users may permanently delete their profile via Settings -> Security. Deletion immediately signs out all sessions and archives profile access.

In compliance with statutory AML and fraud prevention requirements, user transaction ledgers and KYC records are archived securely for a minimum of 5 years rather than purged.
14.3One-Hour Single-Use Restoration Link
An archived profile can be reactivated by selecting 'Restore Account' on the sign-in portal. A cryptographic single-use link is dispatched to the registered email address, valid for precisely one (1) hour. Re-entering credentials reactivates historical data. Accounts banned for cause are permanently ineligible for restoration.
Proprietary Software, Algorithmic Ownership & Trademarks
Ownership of proprietary pricing models, interface layouts, proprietary code, and restrictions against reverse engineering.
15.1Exclusive Proprietary Rights
All platform code, user interfaces, proprietary pricing algorithms, execution engines, trademarks, and documentation are the exclusive intellectual property of ZyroPilot Technologies Ltd.
15.2Limited User License
Users receive a revocable, non-exclusive, personal license solely to access the trading interface. Any scraping, reverse-engineering, decompilation, or replication is strictly prohibited.
Disclaimers, Limitation of Liability & Binding Arbitration
As-is disclaimer, 30-day deposit liability cap, mandatory informal cure period, and individual binding arbitration.
16.1As-Is Operational Warranty
The platform is provided without warranties of continuous availability, faultlessness, or absolute pricing fidelity.
16.2Cap on Monetary Liability
The Company's maximum aggregate liability for any claim arising under these terms is strictly capped at the total net deposits remitted by the user within the thirty (30) days preceding the dispute.
16.3Dispute Protocol & Mandatory Arbitration
Users agree to engage in a 30-day informal resolution process through direct support escalation. Unresolved matters shall be submitted to confidential, binding international commercial arbitration.
16.4Class Action & Collective Claim Waiver
All claims must be resolved on an individual basis; class actions, consolidated arbitrations, or representative lawsuits are strictly waived.
16.5Final Administrative Authority
ZyroPilot retains sole and conclusive authority regarding the interpretation, enforcement, and application of all platform rules and risk parameters.
